Terms of service

Draft. Not yet reviewed by a lawyer; may change before SYNRG opens to the public.

These terms are between you — the person or organization with a studio account — and NXT Move Inc ("SYNRG", "we"). You accept them when you sign in to the studio, when you connect an assistant or API key, and each time you use SYNRG after they change. People who only join a room or an event are covered by the shorter terms for people in the room.

1. What SYNRG is

SYNRG is a tool for building and running interactive talks, surveys and events: a big screen, the phones in the room, and the organizers' notes. We provide the tool. We do not write, check or endorse what you and your audience put into it.

2. Your account

An account is for one person. You are responsible for everything done with it — including by the members and viewers you add to an event or deck, and by anyone using an API key you create. Keep sign-in links and keys private, and remove people who should no longer have access.

3. Your content

Everything you upload, write, generate or import stays yours. You give SYNRG a non-exclusive, worldwide, royalty-free license to store, copy, display, send and process it only as needed to run the service, keep backups, and comply with the law. That license ends when you delete the content, except for backups, which are cleared on their normal cycle.

4. What you promise about your content

You have the rights and permissions you need for everything you upload and everyone you add — pictures, documents, slides, logos, and people's names and email addresses. Your use of SYNRG does not infringe anyone's copyright, trademark, privacy or publicity rights, and does not break any law. If someone claims that a deck or an event of yours infringes their rights, tell us promptly.

5. Your audience is your responsibility

You decide what to ask, whether answers are tied to people or not, what is shown on the screen, who may join, and whether downloads are on. You are responsible for what participants submit and for moderating it, and for complying with the laws that apply to collecting information from your audience. If anyone taking part is under 13 (or under 16 outside the United States), you are responsible for having the consent their parent or guardian needs to give.

6. People and email

When you add people to an event or sync them from another service, you confirm you obtained their details lawfully and may contact them about the event. Every email SYNRG sends on your behalf carries a way to stop further emails from that event, which we honor. SYNRG is not responsible for how you collected addresses.

7. Personal data

For the personal data inside your events you are the controller; SYNRG processes it on your instructions under the data processing terms. Do not collect government ID numbers, payment card numbers, passwords or health information through SYNRG. Ask about religion, ethnicity, politics or similar only where you have a lawful basis to and, where answers are tied to people, their consent.

8. AI features

Themes, covers, slide faces, drafts, research, summaries and merged questions can be generated by an automated model from what you give it. As between you and SYNRG, that output is yours to use. It is provided as it comes: it may be inaccurate, incomplete, or resemble output produced for someone else, and material produced entirely by a machine may not be protected by copyright. Check it before you present it. SYNRG does not use your content to train AI models and does not permit its AI providers to. More on the AI page.

9. Acceptable use

The acceptable use rules are part of these terms. We may remove content, close a room or an event, or suspend an account that breaks them, with or without notice, and may report unlawful activity.

10. Copyright complaints

The copyright and takedown page is part of these terms. Accounts that repeatedly infringe other people's rights are closed.

11. Sharing and visibility

The owner of an account sees every deck and event in it. Members and viewers see only what is shared with them. You are responsible for who you add and for removing them.

12. Other services

Airtable, Eventbrite, Planning Center, Google Docs and Sheets, and any AI assistant connected to SYNRG have their own terms, which you agree to with them. By connecting one you instruct SYNRG to exchange data with it. SYNRG is not responsible for those services or for how they handle your data.

13. Fees

Where a plan has a price it is shown before you pay. Plans renew unless canceled; we give at least 30 days' notice of a price change by email. A first purchase can be refunded in full within 14 days. Features marked as beta may change or be withdrawn.

14. Availability

SYNRG is provided as it is and as available. We work to keep it up, especially while a room is open, but do not promise uninterrupted service and may take it down for maintenance. Keep your own exports of anything you cannot afford to lose.

15. Limits on our liability

Our total liability to you for anything arising from SYNRG or these terms is limited to the fees you paid us in the twelve months before the claim. We are not liable for indirect or consequential loss, lost profits, or lost data, nor for anything in content, output or data supplied by you or your participants. Nothing here limits liability that the law does not allow to be limited.

16. Your indemnity

You will defend and indemnify NXT Move Inc against third-party claims that arise from your content, your participants' content, your use of personal data, or your breach of these terms.

17. Ending

You can close your account at any time; we can end these terms with 30 days' notice, or immediately for a serious breach. After closing you have 30 days to export your data, after which we delete it; backups follow within 90 days.

18. Law and disputes

Texas law governs these terms. If there is a dispute, we both agree to try to settle it by talking for 30 days first. After that, the courts of Travis County, Texas have jurisdiction.

19. Changes

We will tell you about material changes by email and in the studio. Using SYNRG after a change takes effect means you accept it.
